Registering a company in Armenia from abroad

You live outside Armenia and want a business here. Registration, the tax regime and the books are handled remotely; only the bank needs you in person.

This page is for people who live outside Armenia — relocating, already settled elsewhere, or simply working with Armenian clients — and want a sole trader or an LLC here. The question is always the same: what can be done remotely, and what do I have to fly in for? The short answer: almost everything is remote; only the bank account needs you in person.

What we do without you

We choose the legal form and the tax regime, prepare the documents, register the sole trader or LLC with the register and send you the registration details. After that we keep the books, file the returns and answer the tax authority's questions. All of it by messenger or email, in Armenian, Russian or English.

The power of attorney, step by step

It all starts with the power of attorney. You send a scan of your passport and a short description of the business. For an LLC, add two versions of the company name, the founders and their shares, and the director's details. We send you the power of attorney text; you sign it at a notary in your country and have it apostilled, or sign it at an Armenian consulate. You send us the original by courier, and we arrange the notarised translation in Yerevan. A sole trader is registered within three working days of the power of attorney reaching us.

The regime is chosen before registration

A newly registered business files its tax-regime application within 20 days of registration (article 254(1)(2) and article 267(1)(2)). Miss it and the business stays on the general regime until 20 February of the following year (article 254(1)(1)). From abroad those 20 days are the easiest thing to lose, so we settle the regime before you sign the power of attorney.

The one visit: the bank

Every bank in Armenia opens an account only with the owner present. To make it one visit, we choose the bank in advance to fit your business and citizenship, collect the documents and go to the meeting with you. The same trip is the time to sort out the social card, the e-signature and anything else that needs you in person.

Running the business from a distance

After registration your part is small: you send the documents, we keep the books and file the returns, and you sign with your e-signature. Monthly service starts at 20,000 AMD for a sole trader on the micro regime, and questions in the first month are answered at no extra charge. If you are relocating, we handle the residence permit based on the business.

What it costs

Registering a sole trader is 50,000 AMD one-time, state duty included. The price of an LLC, of bank support, the social card, the e-signature and the residence permit we quote after the first conversation — it depends on your situation. Prices exclude VAT. The notary and the apostille are paid for in your country, separately. The first meeting is free, including by video call.

Answers — up front

Do I need Armenian citizenship or a residence permit to open a sole trader or LLC?

No: we register businesses for foreign citizens too. If you plan to relocate, we handle the residence permit based on the business.

How many times do I have to come to Armenia?

Once — to open the bank account: every bank in Armenia does that only with the owner present. We prepare the bank and the documents in advance, and the same trip is the time for anything else that needs you in person.

Can I run a business in Armenia while living in another country?

Yes: we keep the books and file the returns online, and you sign with your e-signature. Where you pay tax as an individual is a separate question of tax residence, which we go through in a consultation before registering.

What language are the documents and the communication in?

The official documents are in Armenian; we explain what they say in Russian or English. The power of attorney text comes in two languages. We talk by messenger or email.

What if the register refuses the company name?

The register refuses a name too close to an existing one, and that is the most common cause of delay. So we ask for two versions of the name up front and check them against the register before the power of attorney is sent.

What should I send before the first conversation?

A passport scan and a few sentences about the business are enough: what you will do, with whom and at what scale. From those we choose the form and the regime, and prepare the power of attorney for your structure.
