Registering a business looks like a formality, but it is where the decisions that drive the tax bill for years are made: the legal form, the tax regime and the description of the activity.
Sole trader or LLC
A sole trader is simpler to run and cheaper to service, but the owner is liable with all of their personal property. An LLC limits liability, allows several founders and reads better to large clients and investors, but carries more formality. The choice depends on who you will be working with and how much risk you are taking on.
Choosing a regime: 20 days
A newly registered business files its tax-regime application within 20 days of registration (article 254(1)(2) and article 267(1)(2)). Miss it and the business stays on the general regime, with VAT and profit tax, until 20 February of the following year (article 254(1)(1)). It is the kind of mistake whose price shows up months later, when it can no longer be fixed. We choose the regime before registration, not after.
How registration works
Sole traders and LLCs are registered online, under your power of attorney. If you are in Yerevan, you come in once, to sign the power of attorney at a notary; if you are abroad, you sign it where you are (how, below). We do the rest and hand the business over ready — with the regime chosen and the books set up. Registering a sole trader takes three working days. An LLC adds the charter, the founders' resolution and the appointment of a director, so both the timeline and the price depend on the number of founders and the structure.
If you are abroad
You do not need to fly in to register: you sign the power of attorney where you are and send us a scan. You are needed in person once, at the bank, because an account opens only with the owner present. The steps, the bank visit, the social card, the e-signature and the residence permit are on a page of their own.
Registering a company in Armenia from abroad
What we need to register you
For a sole trader: a passport and social card, the activity and the address, and a power of attorney in our name. For an LLC, add the company name — checked against the register — the founders' details and the split of shares, and the director's details. It is worth choosing two versions of the name: the register refuses a name too close to an existing one, and that is the most common cause of delay.
The first month after registration
We open the books, register the first employees, issue the first invoices and file the first return. That month usually raises the most questions, and we answer them at no extra charge.
What it costs
Registration is 50,000 AMD one-time for a sole trader — entirely online, under your power of attorney. The state duty is included in that price; there is nothing to pay separately. The LLC price depends on the number of founders and the structure, and we quote it after the first conversation. Monthly service afterwards starts at 20,000 AMD for a sole trader on the micro regime. The first meeting is free, and it is worth having before the documents are filed rather than after.
Answers — up front
Can I register a sole trader or LLC without coming to Armenia?
Yes. We register under your power of attorney: you sign it at a notary in your country or at an Armenian consulate and send us a scan; we do the rest. From Russia and other CIS countries no apostille is needed. You only need to come in person to open the bank account.
Can the bank account be opened remotely?
No: every bank in Armenia opens an account only with the owner present. We help you choose the bank, prepare the documents in advance and go to the meeting with you, so one visit is enough.
How much does registration cost?
Registering a sole trader is 50,000 AMD one-time, state duty included. The LLC price depends on the number of founders and the structure; we quote it after the first conversation. Prices exclude VAT — we add 20% VAT to the invoice. A notary abroad (and an apostille, where one is needed) is paid for there, separately.
How long does registration take?
A sole trader takes three working days from the moment we have the power of attorney and the documents. The LLC timeline depends on the structure; we give it to you in advance. A scan of the power of attorney is enough, so there is no courier to wait for.
Sole trader or LLC if I work with foreign clients?
A sole trader is simpler and cheaper to service, but you are liable with everything you own. An LLC is the choice when there are partners, large clients or investors. The tax depends not only on the form but on the regime, which has to be chosen within 20 days of registration — so we settle both before registering. For a first estimate, try our "Which tax regime fits you" calculator.
Do I need a social card?
Registering a sole trader needs a social card number. If you do not have one yet, we help you get it; how, in your case, we tell you in the first conversation.
Who keeps the books after registration?
We do — from 20,000 AMD a month for a sole trader on the micro regime. Questions in the first month are answered at no extra charge. Returns are filed online; you do not need to be here for them.
